Professional Experience
João Francisco Brandão first joined the firm in 2014 as a trainee in the transactional practice. After a long period working with corporate law at other well-known Brazilian law firms, mainly focusing on M&A, private equity, venture capital and capital markets, João returned to the firm in 2023 as a senior associate in the transactional team. João has extensive experience in complex corporate transactions, having participated in and coordinated public offerings (IPOs and Follow-On), M&A transactions involving listed and privately-held companies, investment rounds and negotiating and drafting a wide variety of contracts.
Academic background
João has a law degree from the State University of Rio de Janeiro (Universidade do Estado do Rio de Janeiro – UERJ) and a specialisation in corporate law and capital markets from the Fundação Getúlio Vargas (FGV). He also graduated from the finance course at COPEAD – UFRJ.

- Advising XP Investimentos and its private equity fund on the investment in Will Bank S.A.;
- Advising Headline, XP Investimentos’ venture capital division, on its investment in Smart Break Comércio Lanches Ltda., a start-up operating in the convenience store sector inside buildings, establishments and condominiums;
- Advising Headline, XP Investimentos’ venture capital division, on its investment in Fiibo Saúde, a start-up operating in the health insurance and brokerage sector;
- Advising Headline, XP Investimentos’ venture capital division, on its investment in Fin-X, a start-up operating in the medical and hospital financing sector;
- Advising Stone Co Ltd. on the merger of Linx S.A., involving public companies with stock listed in B3 (in the case of Linx) and NYSE (in the case of Stone Co Ltd);
- Advising on Vinci Capital’s IPO on NASDAQ;
- Advising on the acquisition of Rio Energy by Equinor.
