Catherine Orzes Shirazi

Professional experience

Catherine Orzes Shirazi joined Trench Rossi Watanabe Advogados in 2020 and is a full time attorney in the corporate, mergers and acquisitions, contracts and capital markets practice areas of the São Paulo office. Specializing in corporate law and capital markets, she frequently represents issuers, shareholders, financial institutions and investors in a variety of transactions involving structuring, registration and listing of companies with regulatory bodies and stock exchanges in Brazil and abroad, and M&As of publicly traded companies in unregulated and regulated segments.

Academic background

Catherine has a law degree from Pontifícia Universidade Católica de São Paulo, where she was a member of the corporate arbitration team and participated, as a speaker, in arbitration competitions related to corporate and capital market disputes. Catherine is currently doing postgraduate work in Business Administration at INSPER Instituto de Ensino e Pesquisa.

Activities outside the office

Catherine was a member of CAMARB Jovem in 2018 and 2019, and was a member of the Drafting Committee of the IX Brazilian Competition of Arbitration and Business Mediation, promoted by the Chamber of Mediation and Business Arbitration (CAMARB) in 2018. 

Representative matters and clients

Since joining the firm in 2019, Catherine has advised

• (i) Grupo SBF S.A. (“Centauro”) in its initial public offering in the amount of R$705 million in 2019, and in the acquisition of Nike’s retail (online and brick & mortar) and wholesale businesses in Brazil for R$1 billion, followed by Centauro’s subsequent public offering (follow-on) in the amount of R$900 million;
• (ii) coordinating banks in the subsequent public offering of Log-In Logística Intermodal S.A. shares (follow-on) in the amount of R$ 551 million;
• (iii) d1000 Varejo Farma Participações, owner of the drugstore chain Rosário located in the State of Goiás and the Federal District, among other chains located in the State of Rio de Janeiro, in the scope of its initial public offering of shares in the amount of R$ 400 million  
• (iv) underwriters in Vitru Limited’s initial public offering, involving primary and secondary tranches, carried out abroad upon prior registration with the US Securities and Exchange Commission, in the amount of US$ 90 million
• (v) coordinating banks in the initial public offering of Mosaico Tecnologia ao Consumidor S.A. shares, in the amount of R$ 1.2 billion;
• (vi) coordinating banks in the initial public offering of Boa Safra Sementes S.A. shares, in the amount of R$ 460 million;
• (vii) SBF Comércio de Produtos Esportivos S.A. and its subsidiaries in their debenture issues; and
• (ix) Wiz Co Participações e Corretagem de Seguros S.A. in all its debenture issues.
